By accessing this website, we assume you accept these terms and conditions. Do not continue to use Eco Resources if you do not agree to take all of the terms and conditions stated on this page.

1. INTRODUCTION

1.1. Eco Resources (hereinafter referred to as “Eco Resources,” “The Company,” “We,” “Us,” “Our,” or similar expressions) is solely owned and registered under Business Registration Number 202503115635 (AS0494774-X), and formerly known as E Eco Resources under Business Registration Number 202203026864 (CT0101061-D). The Company registered office is located at PT14353 Jalan Perusahaan 22, Kampung Idaman Pandamaran, 42000 Pelabuhan Klang, Selangor D.E.

1.2. The term “Customer,” “You,” “Your,” and similar expressions refer to any customer, prospective customer, user of this website, or individual visiting the showroom.

1.3. The term “website” refers to the webpage link https://ecoresourcesmy.com.

1.4. The products listed on this website, displayed in the showroom, and offered on Eco Resources’ e-commerce platform will be referred to as “products,” “goods,” “items,” and similar expressions.

1.5. The Terms and Conditions of sale and service outlined on this page will be referred to as the “Terms.”

1.6. Any reference in these Conditions to a provision of a statute shall be interpreted as a reference to that provision as amended, re-enacted, or extended at the relevant time.

1.7. The headings in these Conditions are for convenience only and shall not affect the interpretation of any part.

2. gENERAL

2.1. The Customer acknowledges that these Conditions apply to all legal relations between the Customer and Eco Resources, excluding any other terms, including conditions, warranties, or representations, whether written or oral, expressed or implied. This applies even if such terms are included in any documents from the Customer that claim their terms should prevail. Any such conditions, warranties, or representations are expressly excluded. Any variations to these Conditions, as well as verbal, telegraphic, or telephone statements made by representatives of Eco Resources or its agents, are provisional and must be confirmed in writing by an authorized representative of Eco Resources.

2.2. If any part of these Terms is found to be void, invalid, or otherwise unenforceable, that part will be replaced by a valid, enforceable provision that closely matches the intent of the original provision. The remaining Terms will continue to be valid and enforceable.

2.3. No employee or agent of Eco Resources has the authority to make any representations or warranties, whether verbal or written, regarding the Goods. Any quotation or estimate provided by Eco Resources does not constitute an offer or representation.

2.4. All specifications, drawings, descriptions, and catalogues issued by or on behalf of Eco Resources are intended solely to provide a general description of the items available. Readers should not rely on any information contained therein as a factual representation concerning the goods sold by Eco Resources or as a warranty regarding their condition or otherwise.

2.5. While Eco Resources strives to ensure that the information about products and pricing on its website and in its showrooms is accurate, errors may occur. The information on Eco Resources‘ website is for informational purposes only. Although Eco Resources has made every effort to ensure that the information is correct and current at the time of publication, the website may contain technical inaccuracies or typographical errors.

2.6. Eco Resources does not accept any responsibility for errors, omissions, or defects in the information provided on this website. In cases where the price of a product on Eco Resources‘ website differs from the price displayed in its showroom, the showroom price will be considered the correct price.

3. PRODUCTS

3.1. Purchased products may exhibit different characteristics from the sample in the showroom, other e-commerce platforms, or the images shown on this website. For example (and without limitation):

(a) Soft furniture surfaces may vary in appearance and characteristics such as creasing and the degree of softness;

(b) Due to Eco Resources‘ process of continuous improvement, timber parts may vary in colour, finishes (including the paint, stain, or veneer), or type of timber;

(c) Colour swatches and samples are an approximate guide only, as different batches of leather and fabrics vary in colour and texture;

(d) Leather will exhibit scars, marks, and areas of differing density and shade, which are the hallmarks of genuine leather and therefore vary from product to product.

(e) Due to lighting and different devices used to view the displayed product, the colour seen may vary slightly from the actual colour of the product. Similarly, other slight variations may occur between the product displayed and the actual product.

3.2. Minor defects may occur that do not affect the product’s functionality, including minor surface scratches, dents, and uneven, cracked, or chipped finishes from paints, shellac, laminate, vinyl, veneer, and other furniture finishes, provided that these defects do not exceed 5% of the product; in these circumstances, return or refund requests from the Customer will not be accepted.

3.3. To the full extent permitted by law, Eco Resources reserves the right to change dimensions, materials, design, and construction specifications and to pattern match fabrics according to its best judgment to improve the design of the product while still honoring the contract with the Customer.

4. ORDERS

4.1. No order placed by the Customer shall be deemed to be accepted by Eco Resources unless and until confirmed by a Sales Order document that was delivered from E_eco@outlook.com.

4.2. Eco Resources reserves the right, acting reasonably, to accept or reject in its absolute discretion any order, or part of an order, which it may receive from the Customer. Payment made from the cancelled order will be fully refunded within 3 working days to the Customer’s account.

4.3. When placing an order, the Customer acknowledges and agrees that the Customer has satisfied themselves that the Product meets the Customer’s requirements and is suitable and sufficient for the Customer’s intended purpose in all respects.

4.4. If the Goods are to be manufactured or any process is to be applied to the Goods by Eco Resources in accordance with a specification requested by the Customer, the Customer shall indemnify Eco Resources against all loss, damages, costs, and expenses awarded against or incurred by Eco Resources in connection with or paid or agreed to be paid by Eco Resources in settlement of any claim of infringement of any patent, copyright, design, trademark, or other industrial or intellectual property rights of any other person which results from Eco Resources’ use of the Customer’s specification.

4.5. Eco Resources reserves the right to make any changes in the specification of the Goods which are required to conform with any applicable safety or other statutory requirements or, where the Goods are to be supplied to Eco Resources’ specification, which do not materially affect their quality or performance.

4.6. No order which has been accepted by Eco Resources may be cancelled by the Customer except with the agreement in writing of Eco Resources, and the Customer shall indemnify Eco Resources in full against all loss (including loss of profit), costs (including the cost of all labour and materials used), damages, charges, and expenses incurred by Eco Resources as a result of any cancellation. Without prejudice to the generality of the foregoing, should the Customer purport without the agreement in writing of Eco Resources to cancel any order which has been accepted by Eco Resources or refuse to accept delivery of any of the Goods, such action shall constitute a breach of the Contract, and, at the option of Eco Resources, Eco Resources shall be entitled to require the Customer to:

(a) pay to Eco Resources by way of liquidated damages an amount equivalent to 50% of the invoice value/total Price of the order so purported to be cancelled, which Eco Resources and the Customer hereby agree that such amount represents a genuine pre-estimate of the monetary value of the loss and damage likely to be suffered by Eco Resources as a result of such breach of agreement on the part of the Customer; or

(b) pay toEco Resources the full Price of the Goods delivery of which is so refused (as the case may be), upon receipt of which the Customer shall be entitled to the ownership of the Goods. In the event of Eco Resources so requiring, the Customer shall pay such amount to Eco Resources (without any deduction) within 7 days of receiving from Eco Resources written notification of the amount required to be paid. For the avoidance of doubt, in the event that Eco Resources opts to require the Customer to pay liquidated damages as set out above, and the Customer duly pays such liquidated damages, neither party shall have any further liability to the other in relation to the Goods in respect of which such liquidated damages are paid.

5. PRICES

5.1. The price of the Goods and/or Services shall be the price stated on the Eco Resources website at the time the Customer made the purchase. The price excludes the cost of packaging and delivery charges, as well as any applicable goods and services tax, value added tax, or similar tax, which the Customer shall be liable to pay to Eco Resources in addition to the price.

5.2. If Eco Resources discovers an error in the price or payment of any Products that the Customer has ordered, Eco Resources will inform the Customer as soon as possible and give the Customer the option of reconfirming the order at the correct price or cancelling it. If Eco Resources is unable to contact the Customer, Eco Resources will treat the order as cancelled; in these circumstances, Eco Resources will provide the Customer with a full refund of the payment.

6. PAYMENT

6.1. The Customer shall be entitled to make either a deposit or full payment, depending on their eligibility (as outlined in clauses 6.2. and 6.3. ), for the Goods using the various payment methods available on the Eco Resources‘ website. The terms applicable to each payment type, as specified on the website, shall govern the Contract.

6.2. Customers with purchases below RM3000 are required to make full payment, including for pre-order items.

6.3. Customers with purchases above RM3000 are eligible to pay a 50% deposit when placing an order. The outstanding balance must be paid before or at the time of receiving the goods.

6.4. The Customer is responsible for any costs incurred in arranging payment for the Products, including, but not limited to, bank transfer fees and related charges.

6.5. In addition to any additional terms specified on the Eco Resources‘ website, the following terms shall apply to the respective payment methods:
(a) PayPal – Terms and conditions can be found here: PayPal Terms
(b) Online Transfer – The Customer shall transfer the payment for the Goods to Eco Resources’ account for the total amount of the purchase (including any applicable taxes, fees, and shipping costs). The transaction must be made in Ringgit Malaysia. Eco Resources reserves the right to refuse this payment option to any individual or user. The Customer must upload the payment transaction slip in the designated field or send it to Eco Resources‘ email. The payment should be transferred to the following account:

6.6. If the Customer fails to make any payment in accordance with the terms and conditions of the chosen payment method, Eco Resources shall be entitled, without prejudice to any other rights or remedies, to:

(a) Cancel the Contract or suspend deliveries of the Goods until full payment is made; and/or

(b) Charge the Customer interest (both before and after any judgment) on the unpaid amount at a rate of one percent (1.0%) per month until full payment is received (with any part of a month treated as a full month for the purpose of calculating interest).

7. DELIVERY, DELIVERY ADDRESS, ACCESS TO PREMISES

7.1. Eco Resources will endeavor to deliver the Goods by the estimated delivery date and time stated in the invoice. For the avoidance of doubt, the estimated delivery date and time is merely an estimation, and Eco Resources provides no guarantee or assurance that the Goods will be delivered by the estimated delivery date and time. The Customer will be notified by Eco Resources of their order’s readiness for delivery one to two (1-2) days in advance.

7.2. The Customer is liable for payment of all delivery charges, including but not limited to any additional charges incurred due to difficulties with access, such as premise parking fees, premise toll fees, moving-in costs, or deposits.

7.3. The Customer shall ensure that the correct delivery address is provided to Eco Resources at the time of placing the order and shall notify Eco Resources in advance if there will be difficulties accessing the premises at the delivery address. The Customer is responsible for ensuring adequate access and entry to the premises at the delivery address to allow for the delivery of the Goods (including permits for entering premises, usage of staircases, narrow staircases, narrow entrances, narrow loading lifts, and similar situations). Eco Resources shall not be responsible for these situations.

7.4. The Customer must ensure that an authorized person aged 18 years or older is present on-site during delivery.

7.5. Eco Resources reserves the right to make partial deliveries of any order. Failure to deliver all the Goods at any one time shall not invalidate the order placed by the Customer.

7.6. If a delivery attempt fails due to the Customer not being on-site during delivery without providing one (1) day’s notice, rescheduling the delivery will incur extra charges to compensate for Eco Resources‘ petrol, labor, and other financial losses.

7.7. If the Customer is making a future purchase, the Customer is responsible for notifying Eco Resources of the future delivery date.

7.8. If the use of stairs is required for moving furniture into the premises, the customer must inform Eco Resources in advance. Additional labor fees will apply, determined by the number of items, their weight, and the level of the staircase. Eco Resources reserves the right to decline assistance with moving furniture upstairs if the customer fails to provide this information during the delivery arrangement discussion.

7.9. If the Customer experiences delays in their schedule, the Customer is responsible for notifying Eco Resources to postpone the delivery date at least two (2) days in advance. In this case, the Customer can defer delivery, and Eco Resources will store the order at no extra cost for up to ninety (90) days beyond the prearranged delivery date (Free Storage), provided that:

(a) The order is ready in full in Eco Resources‘ warehouse; and
(b) The Customer must request the Free Storage option by notifying Eco Resources at least two (2) days before the delivery date. The order will be stored by Eco Resources until the next delivery date (which must be within ninety (90) days). This deferral and Free Storage option is available only once for each order.

8. STORAGE

8.1. If the Customer does not accept the delivery after the expiry of ninety (90) days (clause 7.9), the Customer becomes immediately liable to pay storage fees, which are 3% of the total invoice amount for every calendar month. For example, consider the following scenario:

– Total purchase amount: RM1000
– Initial delivery date: 2nd May 2026
– On the notified delivery date, the Customer refuses to accept delivery and postpones it to 26th September 2026.
– Calculation will be as follows:
– Initial delivery date: 2nd May 2026
– Rescheduled date: 26th October 2026 (177 days)
– 177 days – 90 days = 2 months 25 days
– RM1000 * 3% = RM30 (monthly)
– RM30 / 31 = RM0.97/day
– RM0.97 * 25 days = RM24.25
– Total storage fees for 2 months and 25 days = RM30 + RM30 + RM24.25 = RM84.25

8.2. The Customer’s product can only be kept for a maximum of twelve (12) months. If the product is still not delivered or collected, the Customer becomes immediately liable to the following:

(a) If the Customer has paid the full purchase price, they shall arrange for the products to be delivered to a storage facility of their choice and will be liable for all delivery, storage, and associated charges. If Eco Resources delivers the order to a storage facility of the Customer’s choice, Eco Resources shall relinquish all liability for the order upon off-loading of the products at the storage facility. Eco Resources may assist the Customer in arranging a storage facility; however, there will be an additional cost for this service, which shall be wholly borne by the Customer.
(b) If the Customer has not paid the full purchase price within the requisite period or does not attend to the matters prescribed in (a) above, they will be deemed to have breached the contract of sale of the products, and Eco Resources may exercise its right to treat the Customer’s failure to accept delivery on the above terms as a cancellation of the original order. In these circumstances, the Customer:

(i) agrees to forfeit the deposit paid, or, if the products are clearance products, the full price of the products; and
(ii) will have no further claim to the products.

8.3. The Customer acknowledges and understands the risks of products being kept on Eco Resources‘ premises, which include:

(a) Product quality loss over time due to, but not limited to, humidity, temperature, and light exposure in Eco Resources‘ premises.
(b) Product color may change over time.
(c) Products may face minor scratches due to the movement of stock in the premises.
(d) Products may be damaged or lost due to natural disasters or fire disasters, such as but not limited to floods or fires. In this case, Eco Resources will conduct insurance inspections, and the Customer must cooperate patiently with the process. The Customer will be refunded 70% of the product’s invoice amount, provided they submit proof of documentation for verification. Accepted proof of documentation includes the sales order or invoice in either softcopy or hardcopy. Refund payments will be processed within ten (10) working days.

8.4. In the case of clause 8.3, Eco Resources will not be liable if the product quality or color has degraded when kept for a long period, as product quality may change due to temperature, humidity, and light exposure. Eco Resources will not exchange or fulfill new orders for the Customer unless the product is in a damaged condition.

9. CANCELLATION OF ORDERS

9.1. Please choose carefully, as Eco Resources does not provide refunds or exchanges for changes of mind or incorrect selections. It is recommended to verify any proposed orders in person at Eco Resources showrooms or online on the checkout page, as applicable, prior to purchase. If the Customer chooses to cancel the order, Eco Resources will rescind the contract for the sale of the products by notifying the Customer, and the Customer agrees to the following terms:

(a) Forfeit the full deposit paid to cover Eco Resources‘ administrative costs and expenses incurred in processing and canceling the order.
(b) Forfeit the entire purchase price of the products if they are Clearance Products.
(c) Have no further claims to the products.
(d) Eco Resources may, at its sole discretion, agree to sell the products to the Customer at a later date for the full purchase price, without any discount for the forfeited deposit.

9.2. Eco Resources does not accept cancellations, returns, refunds, or exchanges for pre-order products and Clearance Products, to the extent of any physical imperfections or other minor defects (clause 3.2).

10. CLEARANCE PRODUCT

10.1. Clearance Products refer to any goods offered for sale or sold by Eco Resources that are:

(a) Identified and promoted as “Clearance” items (or similar titles);
(b) Identified and promoted as used (not new) products, display products, returned products, or discontinued products;
(c) Identified and promoted as products that are, or may be, defective, damaged, flawed, soiled, or otherwise of substandard quality;
(d) Sold at a discount to the normal retail list price due to being defective, damaged, flawed, soiled, or otherwise of substandard quality;
(e) For sale during a “Clearance Sale” (or a promotional sale with a similar title) conducted by Eco Resources.

10.2. When purchasing Clearance Products, the Customer must inspect the products prior to purchase. By purchasing such products, the Customer accepts any defects and minor damage. Any scratches, marks, or damage that do not affect the performance of the products will be noted at the time of purchase and will not be covered under any warranty provided by Eco Resources in relation to those products.

10.3. Customers who purchase Clearance Products from the website and are unable to visit the showroom to inspect the products shall acknowledge clause 10.1 and understand that the purchased Clearance Products may not be in perfect condition. The Customer agrees to accept any flaws or minor defects in the product.

11. DELAY IN DELIVERY

11.1. Eco Resources will not be liable for any delay in performing any of its obligations, including delays caused by factors beyond its reasonable control, except to the extent that the delay was caused by Eco Resources‘ negligent act or omission.

11.2. Eco Resources will use reasonable endeavors to meet the estimated Delivery Date. If Eco Resources does not meet the estimated Delivery Date, it will make reasonable efforts to deliver the Products at a different time and as soon as possible after the estimated Delivery Date, and that is the limit of Eco Resources‘ obligations and liability for failing to meet the estimated Delivery Date.

11.3. If, at any time after receiving an order from the Customer, Eco Resources, its supplier, subcontractor, manufacturer, or any carrier suffers a Force Majeure Event or an Insolvency Event that prevents or delays Eco Resources from supplying some or all of the Products set out in an order by the estimated Delivery Date, Eco Resources may elect to extend the time for performance of the delivery or terminate the order if the Force Majeure Event continues for a period of 14 days or more, without any liability to the Customer.

11.4. In this paragraph:

(a) Force Majeure Event means any act of God, fire, earthquake, flood, storm, strikes, lock-outs, bans, pandemics (whether or not known at any relevant time), including Covid-19 (and other coronaviruses), other industrial disturbances, civil riot, government interference, by-laws, rules and regulations, or order of any competent authority that is beyond Eco Resources‘, its supplier’s, subcontractor’s, manufacturer’s, or any carrier’s control and that could not reasonably have been expected to be known at the time Eco Resources receives an order from the Customer; and
(b) Insolvency Event means any one or more of the following events:
(i) A controller, administrator, liquidator, trustee in bankruptcy, or similar person being appointed to Eco Resources or to any of its assets or undertakings, or any step taken to do so;
(ii) A resolution that Eco Resources be wound up is passed or proposed, or a process is filed in a court seeking an order that Eco Resources be wound up;
(iii) Eco Resources resolves to enter into, or enters into, any moratorium, arrangement, compromise, or composition with any of its creditors, other than in the ordinary course of its business;
(iv) Anything having a substantially similar effect to any of the events specified in paragraphs (i) to (iii), inclusive, of this definition happens to Eco Resources under the law of any jurisdiction.

12. WARRANTY

12.1. Eco Resources offers a warranty to cover certain branded Products and selected components of those Products.

12.2. Eco Resources does not offer any repairs, maintenance, or other services for Products that are exported from Malaysia. In the event that the Customer’s order requires any repairs, maintenance, or other services, all such costs associated with the relevant service shall be fully borne by the Customer.

12.3. The warranty of the product only covers the cost of repair; transportation fees are to be paid fully by the Customer.

12.4. All Fabric, Leather, Cassa Leather, PU, PVC, Easy Clean Fabric, or any other upholstery is not under any warranty unless it is provided byEco Resources.

13. LIABILITY

13.1. To the extent permitted by law, all other warranties whether implied or otherwise, not set out in these Terms are excluded and Eco Resources is not liable in contract, tort (including, without limitation, negligence or breach of statutory duty) or otherwise to compensate the Customer for:

(a) any increased costs or expenses;

(b) any loss of profit, revenue, business, contracts, or anticipated savings;

(c) the Customer’s use or misuse of the Products;

(d) any act, omission, or negligence by the Customer, the Customer’s agents, or representatives;

(e) any loss or expense resulting from a claim by a third party; or

(f) any delays in delivery of the Products;

(g) any special, indirect, or consequential loss or damage of any nature whatsoever caused by Eco Resources‘ failure to complete or delay in completing the order to deliver the Products.

13.2. In circumstances where Eco Resources‘ liability cannot be limited to the matters set out in the paragraph above, the maximum aggregate liability of Eco Resources for any breach of a condition, guarantee, or warranty whether implied by law or otherwise, is limited to the amount payable by the Customer to Eco Resources in respect of the Product giving rise to the liability.

14. PRODUCT CLAIM

14.1. The Customer must inspect the Products when taking delivery of them and may be required to note any damage on the delivery documentation presented upon delivery. This does not apply to clearance items, where the Customer accepts any defects and minor damage to such Products upon purchase.

14.2. In all other cases, to make a claim, the Customer must notify Eco Resources of any damage to the Products or shortages in delivery promptly after receiving delivery. To make a claim, please contact Eco Resources using the Contact Details provided inside the invoice, in the Agent column on the right side.

14.3. When the Customer notifies Eco Resources of a claim, the Customer must provide the order number, Delivery Date, and reasonable details of the non-conformity. If the notice does not contain these details, it may delay Eco Resources‘ ability to process the claim in a timely manner, or Eco Resources may deny the claim.

14.4. Non-conformity, defect, or damages in any part of the ordered Products do not entitle the Customer to reject any ordered Products that are free of such non-conformity, defect, or damages.

15. INTELLECTUAL PROPERTY

15.1. The Customer acknowledges that at all times all intellectual property including, but not limited to, designs, techniques, methods of manufacture, photographs, specifications, artwork, text, patented inventions, and registered designs remain the property of Eco Resources.

15.2. The Customer will not knowingly allow any intellectual property belonging to Eco Resources to be reverse engineered, pirated, copied, or breached in any other manner. Eco Resources may be entitled to compensation for any loss of royalties, damages, and/or costs arising from the breach of Eco Resources‘ intellectual property rights.

16. PERSONAL DATA PROTECTION POLICY

16.1. Eco Resources may collect and process the Customer’s personal information in connection with Eco Resources dealings with the Customer. If so, Eco Resources will abide by Eco Resources‘ Personal Data Protection Policy, a copy of which is available on Eco Resources‘ website and by request (Personal Data Protection Policy).

16.2. Please note that by purchasing Eco Resources‘ Product(s), the Customer hereby consents to Eco Resources processing of the Customer’s personal data in accordance with Eco Resources‘ Personal Data Protection Policy, including but not limited to the transfer of the Customer’s personal data overseas (if necessary), as some of Eco Resources‘ third-party product suppliers and IT service suppliers are located overseas. The Customer’s Personal Data may be transferred overseas to allow Eco Resources to conduct its business, but only to the extent permitted under Eco Resources‘ Personal Data Protection Policy.

17. INDEMNITY

To the full extent permitted by law, the Customer will indemnify Eco Resources and keep Eco Resources indemnified from and against all liability, loss, or damage Eco Resources may sustain as a result of a breach, act, or omission arising directly or indirectly from any breach of these Terms by the Customer. The scope of this indemnity is reduced to the limited extent that Eco Resources has contributed to any liability, loss, or damage which is the subject of the indemnity.

18. COOKIES

18.1. The website uses cookies to enhance the Customer’s online experience. By accessing Eco Resources, the Customer agrees to the use of required cookies.

18.2. A cookie is a text file placed on the Customer’s hard disk by a web page server. Cookies cannot run programs or deliver viruses to the Customer’s computer. Each cookie is uniquely assigned to the Customer and can only be read by the web server in the domain that issued it.

18.3. Eco Resources may use cookies to collect, store, and track information for statistical and marketing purposes to operate the website. The Customer has the option to accept or decline optional cookies. Certain required cookies are essential for the website’s operation and do not require the Customer’s consent, as they are always active. By accepting required cookies, the Customer also consents to third-party cookies, which may be utilized through third-party services integrated into the website, such as video display windows.

19. GOVERNING LAW

These Terms will be governed by and construed in accordance with the laws of Malaysia. The parties hereby agree to submit to the non-exclusive jurisdiction of the courts of Malaysia.
